VoiceSpectrum AI — Terms of Service
These Terms of Service ("Terms") govern your access to and use of the VoiceSpectrum AI software-as-a-service platform (the "Service") operated by Clinicspectrum, Inc. ("VoiceSpectrum", "we", "our"). By signing up for a Workspace or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent.
1. Definitions
"Service" means the VoiceSpectrum AI platform and any associated APIs, dashboards, and integrations. "Workspace" means an isolated tenant environment provisioned for your organization. "User" means any individual authorized to access a Workspace. "Subscriber" means the organization that has agreed to these Terms and pays the applicable fees. "Tenant Data" means call recordings, transcripts, configuration, and other data submitted to or generated within a Workspace. "AI Output" means responses generated by the Service's models in response to a User prompt or inbound call.
2. Eligibility
The Service is intended for organizational use by parties 18 years of age or older. The Service is not a consumer product. By signing up, you represent that you are authorized to bind your organization, and that your use of the Service complies with applicable law in your jurisdiction.
3. Account & Access
Each Workspace is administered by one or more designated administrators ("Workspace Admins"). Workspace Admins are responsible for managing Users, role-based access controls, and credential hygiene. Multi-factor authentication (MFA) is strongly recommended for all administrative roles and may be required for certain compliance configurations.
4. Acceptable Use
You agree not to use the Service to (a) transmit, store, or process Protected Health Information (PHI) without first executing a Business Associate Agreement (BAA) with VoiceSpectrum; (b) send unsolicited bulk communications or otherwise violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or any analogous law; (c) place automated outbound calls without obtaining the consents required by applicable law; (d) reverse engineer, scrape, or attempt to extract the underlying models; or (e) interfere with the integrity or performance of the Service.
5. AI & Voice Data Handling
Call audio, transcripts, and derived metadata are stored within the Subscriber's Workspace for the configured retention period (default: 30 days). VoiceSpectrum does not use Tenant Data to train shared foundation models unless the Subscriber opts in writing. Model providers used for AI Output may process prompt and response content under their respective enterprise agreements; VoiceSpectrum publishes its current list of subprocessors in the Trust Center. Recording and transcription features may be disabled at the Workspace level.
6. Fees, Billing, Renewals, and Refunds
Subscription fees are billed in advance on a monthly or annual cycle as selected at signup. Subscriptions auto-renew at the then-current rate unless cancelled with at least 30 days' notice prior to renewal. Usage-based overages (additional minutes) are billed in arrears. Fees are non-refundable except where required by applicable law. Disputed charges must be raised within 30 days of the invoice date.
7. Intellectual Property
As between the parties, Subscriber retains all right, title, and interest in Tenant Data. VoiceSpectrum retains all right, title, and interest in the Service, including the software, models, platform configuration, documentation, and any improvements thereto. Subscriber grants VoiceSpectrum a limited, non-exclusive, revocable license to process Tenant Data solely to provide and improve the Service for that Workspace.
8. Confidentiality
Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
9. Warranties & Disclaimers
VoiceSpectrum warrants that the Service will be provided in a professional manner consistent with generally accepted industry standards. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND VOICESPECTRUM DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUT IS PROBABILISTIC AND MAY CONTAIN ERRORS; SUBSCRIBER IS RESPONSIBLE FOR HUMAN-IN-THE-LOOP REVIEW OF MATERIAL DECISIONS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY SUBSCRIBER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
Each party agrees to defend, indemnify, and hold the other harmless from third-party claims arising from (a) breach of these Terms, (b) violation of applicable law, or (c) infringement of the third party's intellectual property rights by the indemnifying party's contributions to the Service or Tenant Data, as applicable.
12. Term & Termination
These Terms commence on signup and continue until terminated. Either party may terminate for material breach not cured within 30 days of written notice. Subscriber may export Tenant Data via the Service's export tools for up to 60 days following termination, after which Tenant Data will be deleted from production systems within 30 days, subject to backup retention windows described in the Trust Center.
13. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration will be Monmouth County, New Jersey, USA. EACH PARTY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Either party may seek injunctive relief in court to protect its intellectual property or confidential information.
14. Governing Law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws principles.
15. Modifications
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the Workspace Admins of record and via an in-product banner. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
